In too many companies, the cap table is still managed with shaky spreadsheets, while securities movements are noted in a separate binder. Equity, a new Odoo 19 application, brings these missing pieces together at the heart of the ERP: you record transactions (issuances, transfers, option exercises), the shareholder register updates itself and the capital breakdown stays readable for management and auditors alike.

1) Two notions to distinguish (and link)

  • Cap table (capital breakdown table): the snapshot at a given time of “who holds what” (securities, classes, percentages, dilution).
  • Securities movements register (RMT): the chronological legal journal of transactions (issuance, sale/transfer, cancellation…). Under French law, it may be kept on paper or on any other “durable medium”, including through a shared electronic recording device (DEEP). In other words: paper, probative electronic records… even blockchain, are admissible.

In practice, the register feeds the table: each transaction entered in the RMT changes the shareholding breakdown read in the cap table. For SAS/SA companies, keeping the register is an obligation closely monitored by commercial courts' registries and advisers.

2) What Equity (Odoo 19) does in practice

  • Securities transactions: record issuances, sales/transfers and option exercises; these events update the shareholder register and, ultimately, the cap table.
  • Valuations: attach your valuations (funding round, expert appraisal, shareholders' agreement) to keep a usable history.
  • People tracking: shareholders and, if needed, beneficial owners (useful for accounting firms and statutory auditors).
  • ERP integration: the information sits in the same place as accounting, documents and contacts, which avoids re-entry.

3) French compliance: what Equity covers… and what you need to lock down

  • Management side: Equity records movements (issuance, transfer, option) with their metadata and secures traceability. This is perfect for internal management, committees and audit preparation.
  • Enforceability : so that the RMT is fully compliant in France, ensure the “durable medium” of the register (paper, probative electronic, or even DEEP). In practice, two options:
    1. In Odoo: keep the register and regularly freeze a signed/time-stamped PDF (per transaction or per period) with a probative archiving policy.
    2. With a legal service provider (Infogreffe & co.): the “legal” register is kept by the third party; Equity remains the operational source (management, reporting).
The regulations accept paper or durable medium and DEEP; the practical arrangements (e.g. “numbering & initialing”) may vary depending on registries and local practice.

4) Recommended setup (simple and robust)

  1. Model the security classes: ordinary/preferred shares, BSPCE/stock options, pools, rights.
  2. Import the history: holders, volumes, prices, effective dates, documents (minutes, subscription forms, transfer orders).
  3. Trace transactions in Equity (issuance, transfer, exercise) with supporting documents.
  4. Attach valuations: rounds, appraisals, agreements, with assumptions and dates.
  5. Freeze the register: signed/time-stamped PDF export (or keeping it with a third party) to guarantee the durable medium.

5) Good record-keeping practices (to avoid “version 2” files)

  • Name your classes and rules clearly (vesting, rights).
  • Systematically attach documents and give a reason for each transaction.
  • Quarterly review: totals, beneficial owners, effective dates.
  • Ready-to-use “board” views and limited exports: you consult at the source, not in 12 parallel files.
(These practices do not replace local legal obligations; they complement them.)

6) Concrete day-to-day benefits

  1. Shared reference (finance, legal, management) instead of hunting for the “latest version”.
  2. Fewer errors, faster: the table updates as issuances/transfers/options occur.
  3. Easier compliance: shareholder/beneficial owner data and supporting documents in the same place.

7) Who is it relevant for?

  • Startups / scale-ups: closely spaced funding rounds, living option pools, demand for investor-employee transparency.
  • SMEs / mid-sized companies: partners joining/leaving, transfers of ownership, need for common, up-to-date data.
  • Accounting firms & practices: multi-client record keeping, filings and audits made easier by a clean history.

8) Sidebar — Shareholders' equity ≠ cap table

  • Shareholders' equity (share capital, reserves, net income, etc.) is an accounting concept.
  • The cap table describes the distribution of securities (who holds what) and the dilution resulting from transactions.
Equity handles ownership of securities and its movements; accounting records the balance-sheet impact in the financial statements.
(Odoo 19 handles these topics in separate but consistent applications.)

Conclusion

With Equity in Odoo 19, capital management moves out of spreadsheets and into the ERP: transactions, register and cap table move forward together, with valuations and beneficiary tracking. For France, the key to enforceability remains the durable medium of the securities movements register: either you secure this point (signed/time-stamped PDF, probative archiving), or you back Odoo with a legal service provider. In both cases, you gain clear traceability… and waste less time looking for your little
